Participation in the Hawai‘i Energy Clean Energy Ally program is voluntary and may be terminated
either party at any time, with or without cause and without penalty.
Indemnification: Clean Energy Ally will indemnify, and hold harmless Hawai‘i Energy and its
administrator Leidos, Inc., the State of Hawaii and its directors, officers, employees,
agents (collectively, “Indemnified Parties”) from and against claims of any kind or legal suits
out of or related to the Clean Energy Ally’s participation in this program, unless the claims or
are caused solely by the action or inaction of the Indemnified Parties.
